Terms of Service

These Terms of Service (“Terms”) govern your access to and use of the website at letsgolive.io and the browser-based show control tools provided by Let's Go Live (“Let's Go Live,” “we,” “us,” or “our”), including Stage Timer, Prompter, VOG, and Backup Live Stream (collectively, the “Service”). By accessing or using the Service, you agree to be bound by these Terms. If you do not agree, do not use the Service.

Let's Go Live is operated by a United States company.

1. Eligibility and Accounts

You must be at least 18 years old, or the age of majority in your jurisdiction, to use the Service. You are responsible for the accuracy of the information you provide and for maintaining the confidentiality of your account credentials. You are responsible for all activity that occurs under your account. Notify us promptly of any unauthorized use.

2. Subscriptions and Billing

• The Service offers a free tier and paid subscription plans. Paid plans are billed in advance on a recurring basis through our payment processor, Stripe.
• Subscriptions renew automatically at the end of each billing period unless canceled before the renewal date. You authorize us to charge your payment method for applicable fees.
• You may cancel at any time. Cancellation takes effect at the end of the current billing period, and you retain access until then. Except where required by law, fees already paid are non-refundable.
• We may change our prices or plan features. We will provide reasonable advance notice of material pricing changes, which take effect on your next renewal.
• Free trials, where offered, convert to a paid or free plan as described at signup. Metered usage, such as Backup Live Stream delivery, may be billed based on actual usage.

3. Acceptable Use

You agree not to:

• Use the Service in violation of any applicable law or regulation;
• Upload, transmit, or distribute content that is unlawful, infringing, defamatory, or harmful;
• Attempt to gain unauthorized access to the Service, other accounts, or related systems;
• Interfere with or disrupt the integrity or performance of the Service, including via excessive automated requests;
• Reverse engineer, decompile, or attempt to extract source code except as permitted by law; or
• Resell or sublicense the Service without our prior written consent.

4. Your Content

You retain all rights to the content you create or upload through the Service (“Your Content”). You grant us a limited, non-exclusive, worldwide license to host, store, process, and display Your Content solely to operate and provide the Service. You are responsible for Your Content and represent that you have the necessary rights to it.

5. Intellectual Property

The Service, including its software, design, text, graphics, and trademarks, is owned by Let's Go Live or its licensors and is protected by intellectual property laws. We grant you a limited, non-exclusive, non-transferable, revocable license to use the Service in accordance with these Terms. No other rights are granted.

6. Third-Party Services

The Service relies on third-party providers, including Supabase, Stripe, Cloudflare, PostHog, and Resend, and may link to third-party websites or services. We are not responsible for third-party services, and your use of them may be subject to their own terms.

7. Service Availability

We strive to keep the Service available and reliable but do not guarantee uninterrupted or error-free operation. We may modify, suspend, or discontinue any part of the Service at any time, and we may perform maintenance that temporarily limits availability.

8. Disclaimers

THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL MEET YOUR REQUIREMENTS OR BE UNINTERRUPTED, SECURE, OR ERROR-FREE.

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, LET'S GO LIVE AND ITS AFFILIATES WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, DATA, OR GOODWILL, ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICE. OUR TOTAL LIABILITY FOR ANY CLAIM RELATING TO THE SERVICE WILL NOT EXCEED THE AMOUNTS YOU PAID TO US IN THE TWELVE MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM.

10. Indemnification

You agree to indemnify and hold harmless Let's Go Live and its affiliates from any claims, damages, liabilities, and expenses arising out of your use of the Service, Your Content, or your violation of these Terms or applicable law.

11. Termination

You may stop using the Service at any time. We may suspend or terminate your access if you violate these Terms or if we discontinue the Service. Upon termination, your right to use the Service ceases. Sections that by their nature should survive termination will survive.

12. Governing Law

These Terms are governed by the laws of the United States and the State in which Let's Go Live is organized, without regard to conflict-of-laws principles. You agree to the exclusive jurisdiction of the courts located there for any dispute not subject to alternative resolution.

13. Changes to These Terms

We may update these Terms from time to time. When we make material changes, we will update the “Last updated” date above and, where appropriate, provide additional notice. Your continued use of the Service after changes take effect constitutes acceptance of the revised Terms.
